Contribution in kind

Interested to sell your real estate so you can reinvest that value? A contribution in kind offers an alternative way to sell your real estate to WDP. Instead of receiving a cash payment, you transfer the property to WDP in exchange for newly issued WDP shares, based on an agreed market value.

What is a contribution in kind?

Selling your property using a contribution in kind allows you to transfer the ownership to an acquiring company, which will issue new shares equal to the value of your property. Essentially, you’ll be transferring the sole property, without any other assets or liabilities

Why consider a contribution in kind?

Efficient transaction

Particularly when the property is held within an operating company. 

Potential tax benefits

No transfer tax is due and a 15% exit tax applies to the realised capital gain instead of 25% corporate income tax.

Comparable timing

The overall process generally takes a similar amount of time as a traditional real estate sale. 

Flexibility through WDP shares

Part of the newly issued shares can be traded shortly after issuance, while a portion must be retained for a certain period.

How does a contribution in kind work?

1. Agree on the property value

The property is contributed at its agreed market value. The number of WDP shares issued is determined by this valuation and WDP’s share price.

2. Complete due diligence

WDP reviews the property and the parties prepare the necessary legal, financial and corporate documentation. The transaction is also subject to the required approvals.

3. Transfer the property

At closing, the property is transferred to WDP before a notary in exchange for newly issued WDP shares.

A practical example: WDP x KDL

WDP’s partnership with Kris De Leeneer (KDL) is a concrete example of a contribution in kind. KDL’s automated high-bay facility in Lokeren, valued at approximately €40 million, was contributed to WDP in exchange for newly issued WDP shares. KDL continues to operate from the 25,000 m² site under a long-term 20-year lease, combining the benefits of a contribution in kind with long-term operational continuity.
